1. Agreement
These Terms of Service govern your access to and use of FieldMate, including the FieldMate Revenue Recovery System and related services provided by FieldMate.
By purchasing, accessing, or using the Service, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree with these terms, you should not use the Service.
2. FieldMate Services
FieldMate provides lead response, follow-up, customer reactivation, review request, and marketing automation services designed for home service and trade businesses.
Depending on your configuration, the Service may include missed-call text-back, lead follow-up, cold lead recovery, customer reactivation, Google review requests, seasonal campaigns, notifications, appointment or demo booking tools, and related automation.
FieldMate may update, improve, modify, or replace features from time to time. We will make reasonable efforts to maintain the core functionality of the Service.
3. Accounts & Responsibilities
You are responsible for providing accurate information required to set up and operate your FieldMate account.
You are responsible for maintaining the security of your account credentials and for activity carried out through your account.
You agree to promptly notify FieldMate if you believe your account has been accessed or used without authorization.
You are also responsible for ensuring that your employees, contractors, and other authorized users comply with these Terms of Service.
You are responsible for accurately identifying and maintaining the status of your leads, customers, and other contacts within the Service where those statuses are used to determine which FieldMate automations or communications apply.
You are responsible for ensuring that contacts are not incorrectly identified as completed customers, active leads, or other categories where doing so could cause an inappropriate or unauthorized communication to be sent.
4. Billing & Payment
FieldMate is offered at the price displayed on your order, proposal, agreement, or applicable pricing page at the time you subscribe.
Monthly Subscription
Unless otherwise agreed in writing, the FieldMate Revenue Recovery System is billed monthly at $197 CAD per month.
Setup Fee
A one-time setup fee of $197 CAD applies unless otherwise agreed in writing. Setup may include account configuration, automation setup, messaging configuration, and other onboarding work required to launch the Service.
Payment
You authorize FieldMate or its payment processor to charge the applicable fees using the payment method provided during signup or onboarding.
Taxes may apply where required by law.
Cancellation
You may cancel your monthly subscription by contacting FieldMate before your next billing date. Cancellation stops future recurring charges but does not normally refund amounts already paid for the current billing period.
5. SMS & Communications
FieldMate may use SMS, email, and other communication channels to provide the Service on your behalf.
Depending on your configuration, FieldMate may send communications including missed-call responses, lead follow-up, customer review requests, customer reactivation messages, seasonal campaigns, and other authorized business communications.
You are responsible for ensuring that the contacts and customers you provide to FieldMate may legally be contacted through the applicable communication channel.
You are responsible for obtaining, documenting, and maintaining any consent, authorization, or other lawful basis required for communications sent through the Service, including requirements that may apply under Canada's anti-spam legislation and other applicable laws.
You are also responsible for ensuring that customer and contact information, including contact status and customer relationship information used to trigger communications, is accurate and kept reasonably up to date.
You must not use FieldMate to send unlawful, deceptive, misleading, abusive, or unauthorized communications.
FieldMate may suspend messaging functionality if we reasonably believe it is being used in violation of applicable law, carrier requirements, platform policies, or these Terms.
6. Acceptable Use
You agree to use FieldMate only for lawful business purposes and in accordance with these Terms.
You must not use the Service to:
- Send fraudulent, deceptive, misleading, or unlawful communications.
- Harass, threaten, abuse, or impersonate another person or organization.
- Send communications without the required consent or authorization.
- Distribute malicious code, harmful content, or unauthorized software.
- Attempt to gain unauthorized access to the Service or another user's account.
- Interfere with the operation or security of the Service.
- Use the Service in a way that violates applicable laws, regulations, carrier rules, or third-party platform policies.
7. Customer Data
You retain ownership of the business and customer information you provide to FieldMate, subject to the rights required for FieldMate to provide the Service.
You authorize FieldMate to process, store, transmit, and use that information as reasonably necessary to provide, maintain, secure, and improve the Service.
You are responsible for ensuring that you have the necessary rights, permissions, and legal authority to provide customer information to FieldMate for processing.
You are responsible for the accuracy of customer and contact information you provide to FieldMate, including information used to determine whether a contact is a lead, customer, past customer, or other recipient of an automated communication.
FieldMate's collection and handling of personal information is described in our Privacy Policy .
8. Third-Party Services
FieldMate may rely on third-party services and platforms to provide certain features, including communications, payment processing, calendar functionality, hosting, analytics, and automation.
Third-party services may have their own terms, policies, privacy practices, availability, and technical requirements.
FieldMate is not responsible for interruptions, changes, or failures caused by third-party services outside of FieldMate's reasonable control.
9. Intellectual Property
FieldMate and its licensors retain all rights, title, and interest in the FieldMate platform, systems, software, processes, branding, designs, documentation, and other materials provided by FieldMate.
These Terms do not transfer ownership of FieldMate's intellectual property to you.
You may not copy, reproduce, modify, reverse engineer, distribute, resell, or commercially exploit FieldMate's systems or materials except where expressly permitted in writing.
10. Service Availability
FieldMate will make reasonable efforts to keep the Service operational and available, but uninterrupted availability cannot be guaranteed.
Service interruptions may occur because of maintenance, updates, internet connectivity, telecommunications providers, third-party platforms, technical failures, security incidents, or circumstances outside FieldMate's reasonable control.
11. Termination
Either party may terminate the Service in accordance with these Terms.
FieldMate may suspend or terminate access if you fail to pay applicable fees, violate these Terms, misuse the Service, or create a legal, security, or operational risk.
Upon termination, your right to access and use the Service will end, except where continued access or data handling is required by law or agreed otherwise.
12. Disclaimers
FieldMate is a business automation and revenue recovery service. FieldMate does not guarantee that the Service will generate a particular number of leads, customers, reviews, sales, appointments, or amount of revenue.
Results depend on factors outside FieldMate's control, including your business, market, pricing, reputation, customer demand, response times, contact data, messaging content, and the actions of prospective and existing customers.
Except where expressly stated in these Terms or required by law, the Service is provided without guarantees regarding specific business results or uninterrupted operation.
FieldMate does not guarantee that automated communications will result in a response, booking, sale, review, repeat customer, or other business outcome.
13. Limitation of Liability
To the maximum extent permitted by applicable law, FieldMate will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business opportunities, or loss of data arising from or related to your use of the Service.
To the maximum extent permitted by law, FieldMate's total liability arising from the Service will not exceed the fees you paid to FieldMate during the three months immediately preceding the event giving rise to the claim.
Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited under applicable law.
14. Indemnification
You agree to defend, indemnify, and hold harmless FieldMate and its owners, employees, contractors, and service providers from claims, damages, liabilities, costs, and expenses arising from your misuse of the Service, violation of these Terms, violation of applicable law, or infringement of another person's rights.
15. Governing Law
These Terms are governed by the laws applicable in the Province of Manitoba and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any dispute arising from these Terms or the Service will be subject to the applicable courts of Manitoba, unless otherwise required by law.
